Webinar Title: Distressed M&A in the Real Estate Industry

With economic downturn caused by COVID-19 impacting the real estate sector, dealmakers should prepare to conduct transactions in a prolonged distressed environment. Jeff Anapolsky and Gleeson Van Riet, co-founders of Crossroads Strategic Advisors, will be sharing insights on distressed M&A with a special focus on the real estate industry.

Mr. Anapolsky is the co-author of the definitive book on this topic: The Art of Distressed M&A: Buying, Selling, and Financing Troubled & Insolvent Companies, which he uses to teach MBAs at Rice University.  Mr. Van Riet served as CFO of two NYSE-listed companies and previously focused on private equity sponsors as an investment banker.

Collectively, they have served as advisor, investor or senior executive on over 150 transactions worth in excess of $100 billion, including 40 bankruptcy cases and 65 bank facilities and high yield offerings. Recent clients include: restaurants, childcare centers, healthcare practices, owner-operated industrial, multi-family, parking garages, leisure, and real estate developers.

They will address the following topics:

  • 1.       What are key milestones leading up to a company’s bankruptcy filing
  • 2.       What are the differences between buying a bankrupt company in Chapter 11 vs. Chapter 7
  • 3.       When does a pre-bankruptcy transaction create fraudulent transfer risk
  • 4.       What are effective bidding strategies for a 363 auction
  • 5.       What are the benefits of being a “stalking horse” bidder
  • 6.       How to purchase assets by making a “loan to own” investment using a DIP loan
  • 7.       How can the highest bid at a bankruptcy auction not be the best bid
